Terms & Conditions

These terms govern your use of Klairo's consulting services. We have written them in plain language where possible. If you have questions about anything here, please reach out before engaging our services.

Definitions

The following terms, when used throughout this document, carry the meanings described below:

  • "Klairo" / "We" / "Us" — refers to Klairo, a business consulting firm registered and operating in Bangkok, Thailand.
  • "Client" / "You" — refers to any individual, company, or organization that engages Klairo for consulting services or accesses information via our website.
  • "Services" — refers to any consulting engagements offered by Klairo, including Market Entry Analysis, Operations Efficiency Review, and Leadership Alignment Workshop Series.
  • "Agreement" — refers to these Terms & Conditions together with any signed engagement letter or service proposal.
  • "Deliverables" — refers to reports, presentations, workshop materials, written reflections, or other documents produced during a service engagement.
  • "Confidential Information" — refers to any non-public business, financial, or operational information shared by either party during an engagement.

Acceptance of Terms

By engaging Klairo's services — whether through a signed proposal, verbal agreement, deposit payment, or written confirmation — you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions.

These terms apply to all service engagements, inquiries, and interactions with Klairo. If you are entering this agreement on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

To engage our services, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement under Thai law or the laws of your jurisdiction.

Service Description

Klairo provides business consulting services to organizations operating in or considering entry into Thailand and the broader Southeast Asian region. Our current service offerings include:

Market Entry Analysis

A research-based engagement covering competitor mapping, regulatory review, and customer persona development for businesses exploring new segments or geographic markets. Delivered within three to four weeks.

Operations Efficiency Review

A structured examination of internal workflows, resource allocation, and technology utilization over a six to eight week period, culminating in a prioritized recommendations report.

Leadership Alignment Workshop Series

A series of four to six facilitated sessions over approximately two months, designed to help leadership teams align on vision, communication norms, and decision-making practices.

Klairo reserves the right to modify, adjust, or discontinue service offerings with reasonable notice. Engagements already underway will not be affected without mutual agreement.

Client Responsibilities

A productive consulting engagement depends on good-faith cooperation from both parties. As a client, you agree to:

  • Provide accurate, complete, and timely information relevant to the engagement scope
  • Make key stakeholders available for interviews, workshops, or consultations as agreed
  • Respond to requests for feedback or clarification within reasonable timeframes
  • Use deliverables only for internal business purposes, unless otherwise agreed in writing
  • Refrain from sharing, reproducing, or distributing Klairo's proprietary methodologies or frameworks without written consent
  • Maintain the confidentiality of any Klairo internal processes or pricing information disclosed during the engagement
  • Settle invoices in accordance with the payment schedule outlined in your engagement agreement

Delays caused by a client's failure to fulfill these responsibilities may affect delivery timelines. Klairo will communicate any such impact promptly and work to find a reasonable resolution.

Intellectual Property

Klairo retains ownership of all proprietary frameworks, methodologies, templates, and internal processes used in delivering services. These are not transferred to the client as part of any engagement.

Deliverables produced specifically for your engagement — such as reports, workshop summaries, and written analyses — are licensed to you for internal use upon receipt of full payment. This license is non-exclusive and non-transferable.

You may not reproduce, distribute, or use Klairo's deliverables for commercial purposes, client presentations to third parties, or public communications without prior written agreement.

If you provide Klairo with any materials, data, or documents as part of the engagement, you confirm that you have the right to share these and grant Klairo permission to use them solely for the purposes of delivering the agreed services.

Payment Terms

All fees are denominated in Thai Baht (฿) unless otherwise agreed. Payment schedules are outlined in each engagement proposal. Standard terms are as follows:

Deposit: A 50% deposit is typically required before work commences on any engagement.

Balance: The remaining balance is due upon delivery of final deliverables, unless otherwise specified.

Workshop Series: For multi-session engagements, a per-phase payment schedule may be agreed prior to commencement.

Late Payment: Invoices unpaid beyond 30 days of the due date may incur reasonable administrative charges. Work may be paused until outstanding amounts are settled.

Accepted Methods: Bank transfer (Thai baht), corporate cheque, or methods specified in your engagement agreement.

Cancellation & Rescheduling

If you need to cancel or reschedule an engagement, please notify us as early as possible:

  • Cancellation more than 14 days before commencement: deposit refundable less any work already completed
  • Cancellation within 7–14 days: 50% of deposit retained to cover preparation costs
  • Cancellation within 7 days or after work has commenced: deposit non-refundable; work completed to date will be invoiced

Rescheduling requests are accommodated where possible and are not subject to penalty when requested with reasonable notice.

Service-Specific Terms

Market Entry Analysis

The scope of research is agreed prior to commencement. Findings are based on desk research and available data sources at the time of the engagement. Klairo does not warrant that market conditions will remain unchanged after delivery. The report reflects considered analysis, not a direction to proceed with any particular business decision.

Operations Efficiency Review

Recommendations are based on information provided and observed during the engagement. Implementation of recommendations remains the client's decision and responsibility. Klairo is not liable for outcomes arising from implementation choices made after delivery of the report.

Leadership Alignment Workshop Series

Workshops require the participation of agreed individuals. If key participants are unavailable, sessions may be rescheduled by mutual agreement. Workshop content is customized based on pre-session interviews; changes to participant groups after this stage may affect the relevance of session design.

Disclaimers

Klairo provides consulting services with care and professional diligence. However, consulting advice is inherently advisory in nature. We make no representations that any recommendations will produce specific business outcomes.

Services are delivered "as reasonably practicable" given the information available and the scope agreed. We do not offer legal, financial, accounting, or regulatory compliance advice. If your situation requires such input, we recommend engaging qualified professionals in those fields.

Klairo is not responsible for decisions made by the client based on deliverables, nor for consequences arising from incomplete information shared during the engagement.

Limitation of Liability

To the extent permitted by applicable Thai law, Klairo's total liability arising from any consulting engagement shall not exceed the total fees paid by the client for that specific engagement.

Klairo shall not be liable for indirect, consequential, incidental, or special damages — including lost profits, lost business opportunity, or reputational harm — even if advised of the possibility of such damages.

Nothing in these terms limits liability for fraud, willful misconduct, or where liability may not be limited by law.

Indemnification

You agree to indemnify and hold harmless Klairo, its principals, and associates from any claims, losses, or expenses — including reasonable legal fees — arising from:

  • Your breach of these Terms & Conditions
  • Your misuse or unauthorized distribution of deliverables
  • False or misleading information provided to Klairo during an engagement
  • Your violation of any applicable laws or regulations

Termination

Either party may terminate an engagement with written notice. The following applies upon termination:

  • Work completed up to the date of termination will be invoiced at the pro-rata rate
  • Any deliverables completed and delivered remain the client's to use under the license terms above
  • Confidentiality obligations survive termination and remain in effect for three years
  • Intellectual property provisions survive termination

Klairo reserves the right to suspend or terminate an engagement if a client is found to be acting in bad faith, withholding material information, or in breach of these terms.

Dispute Resolution

These Terms & Conditions are governed by the laws of the Kingdom of Thailand. Any disputes arising from a consulting engagement shall first be addressed through informal discussion between the parties in good faith.

If an informal resolution cannot be reached within 30 days, the parties agree to pursue mediation through an agreed neutral mediator before initiating formal legal proceedings.

If mediation is unsuccessful, disputes shall be subject to the jurisdiction of the courts of Bangkok, Thailand.

Governing Law: Kingdom of Thailand — Civil and Commercial Code

General Provisions

Entire Agreement: These terms, together with any signed engagement proposal, constitute the full agreement between the parties and supersede any prior discussions or representations.

Severability: If any provision of these terms is found unenforceable, the remaining provisions continue in full effect.

Waiver: Klairo's failure to enforce any provision on a given occasion does not constitute a waiver of its right to enforce it in future.

Assignment: You may not assign your rights or obligations under these terms without Klairo's prior written consent.

Notices: Formal notices should be submitted in writing by email to the addresses on record for each party.

Force Majeure: Neither party is liable for delays or failures caused by circumstances beyond reasonable control, including natural events, government actions, or infrastructure disruptions.

Changes to These Terms

Klairo may update these Terms & Conditions from time to time to reflect changes in our services, legal requirements, or operational practices. Significant changes will be communicated to active clients via email.

Continued engagement with Klairo following a material update constitutes acceptance of the revised terms. You are encouraged to review this page periodically. The "Last Updated" date at the top of this document indicates when the most recent revision was made.
